Vertiv Lists on the New York Stock Exchange Following Business Combination With
GS Acquisition Holdings Corp

Pure-Play Critical Digital Infrastructure Provider to Trade Under the Ticker Symbol VRT

Columbus, Ohio Feb. 10, 2020 – Vertiv Holdings Co, a global provider of critical digital infrastructure and continuity solutions, today announced the completion of the business combination of GS Acquisition Holdings Corp and Vertiv Holdings, LLC. The combination was approved by GS Acquisition Holdings Corp shareholders on February 6, 2020. GS Acquisition Holdings Corp has been renamed Vertiv Holdings Co and is expected to trade on the New York Stock Exchange beginning on Monday, February 10, 2020 (NYSE: VRT, VERT.U, VRT.WS).

Upon the closing of the transaction, Platinum Equity held approximately 38% of the outstanding common stock of Vertiv Holdings Co, the former GS Acquisition Holdings Corp stockholders held approximately 25% of the outstanding shares, and investors in the private placement held the remaining 37%.

The transaction was effected pursuant to the Agreement and Plan of Merger entered into by and among GS Acquisition Holdings Corp, Vertiv Holdings, LLC, VPE Holdings, LLC (Vertiv Holdings, LLC’s parent), and the other parties thereto.

Morgan Securities LLC and Deutsche Bank Securities acted as capital markets advisors to GS Acquisition Holdings Corp. J.P. Morgan Securities LLC acted as financial advisor to Vertiv.
